These Terms of Service govern your use of the Websites-Unlimited.com & Le Reseau Magickey®™ software and any additional services offered by or available from Websites-Unlimited.com & Le Reseau Magickey®™ (the "Services").
Please read these Terms of Service carefully. YOUR ACCESSING THIS WEB SITE AND USE OF THE SERVICES SIGNIFIES THAT YOU AGREE TO THE FOLLOWING TERMS OF SERVICE AND YOU CONSENT TO THE FOLLOWING TERMS AND CONDITIONS ("TERMS OF SERVICE") DISCLOSED HEREIN.
YOU AND Websites-Unlimited.com & Le Reseau Magickey®™ INTEND THAT THIS IS A BINDING LEGAL AGREEMENT.
IF YOU DO NOT AGREE WITH ANY OR ALL OF THESE TERMS, DO NOT USE THE SERVICES. VIOLATION OF THESE TERMS OF SERVICE WILL RESULT IN THE TERMINATION OF YOUR ACCESS TO THE SERVICES.
CHANGES TO THE TERMS OF SERVICE
We may change these Terms of Service at any time. You can review the most current version of these terms by clicking on the "Terms of Service" hypertext link located at the bottom of our web pages. You are responsible for checking these terms periodically for changes.
If you continue to use the Services after we post changes to these Terms of Service, you are signifying your acceptance of the new terms. When such a change is made, we will update the "Last Updated" date at the end of this document.

A 50% deposit will be given as a starting point for the construction and implementation of your website (CONFIGURATION OF THE ACCOUNT, INSTALLATION OF THE STUCTURE). The balance will become payable according to the payment terms suggested and agreed upon by contract.
2.0
The client will be responsible for providing all texts to be modified and inserted in the website. IF NOT, the old website will be moved to the new website.
3.0
This package is possible thanks to a sponsorship part of Magickey Network. Magickey Teknik Network will have its promotional page within your web site, all of which will be under the collaborator and sponsor tab of the web site. SEE the example on the https://thermoflowjmroy.ca website.

The hosting team will be responsible for making a complete back-up in case of HACKER, this back-up is made in a monthly way, or it will be possible to reinstall in 45 minutes the website such as it was at the time of the careful back-up. The customer can also always ask for a back-up if the customer adds, for example, a lot of texts during a day of work that you will do. And all the software updates of the website will be updated by us regularly.

The customer will always keep all his texts on Word files or others, as well as all the photographs which it will add to its site on a hard disk and in "back up" (style key or another computer) or in the event of a hack on the Web site

The certificate will protect you against the theft of information for your customers; SSL (HTTPS) is there for the information given by a potential customer on your website, moreover it also secures your customers to navigate on your website ....
7.0
Any additional options or work added to the present service offer will be charged according to the terms of the present contract and will be added to the final invoice that will be given to the client. (Example; text correction, graphics not included, additional programming, etc....) OR we will move the old website as is.
8.0
The customer will be responsible for the deadlines if he delays to hand over the texts, logo, keywords, description, titles and photos requested by the Webmaster to be used for the construction of the website. Any failure on the part of the client will not be the fault of the webmaster in this case. IF not, in this case, we will add the initial keyword information with the descriptions according to the model of the old website. So to make a shortcut all the new keywords and description will be done by us.
9.0
If texts have to be composed and done by the Webmaster, it will be charged at the rate of $50.00/hr/billed by block of 15 minutes.
10.0
In the event that a client configures his site and breaks it, the Webmaster's sole responsibility will be to reinstall the last backup made by the server and this within 48 hours. Fees may be charged in addition in this case. Either at the rate of $50.00/hr. Billed by block of 15 minutes of work.

SPONSORED WEBSITE
This contract is only possible at the best sponsorship price (special price), due to the sponsorship offered and in exchange with MagickeyNetwork.com

Advertising and sponsored site,
This price is possible because of 2 pages of affiliate links of Magickey Teknik Network which will be installed on the web site: santemotion.com and small links installed at the bottom of the web page and in each article in very small characters. There will also be 4 advertising areas where the customer can exchange commercial advertisements with Magickey Network in order to increase the traffic to his web site. This service is provided in cooperation with Adpathway.com. Therefore, the Customer will have free of charge to provide ads on our network according to the areas conveyed on his website (of course no ads that can compete with the link; natural health category food.
11.2
Update
This sponsorship allows the provider (Magickey network) to make updates to the site, (UPDATE, security etc. ...) and the customer benefits from more than 60% better price on the total. The advertisements must remain as long as the security updates are made by the provider (MagickeyNetwork.com), that is a minimum of 3 consecutive years for the update and creation of the web site, and each subsequent year for the update work.
12.0
HOSTING
This is the place on the server (Websites-Unlimited.com) where your website is installed, to be seen from the internet. You will have access to statistics at all times through the bottom of your website (link to statistics)
12.1
ACCEPTANCE OF CONDITIONS
Capacity.
You represent and warrant to Websites-Unlimited that you have the capacity to enter into a legal agreement in the province, state, territory or country in which you reside. If you do not have the capacity to enter into a legal agreement in the province, state, territory or country in which you reside, do not request services from Websites-Unlimited unless your parent or guardian enters into the TOS (Terms of Services) on your behalf.
PLEASE READ THE TOS CAREFULLY. BY CLICKING THE "I AGREE" BUTTON ON THE ORDER FORM FOR ANY SERVICE PROVIDED BY WEBSITES-UNLIMITED, YOU AGREE TO BE BOUND BY THE TOS AND ALL TERMS AND CONDITIONS INCORPORATED BY REFERENCE INTO THE TOS. YOUR USE OF THE SERVICES FURTHER CONFIRMS YOUR ACCEPTANCE OF THESE TOS.
You represent and warrant to Websites-Unlimited that your use of any service it provides will not violate any applicable law or regulation in the province, state, territory or country in which you reside. If you cannot or will not do so, do not request services from Websites-Unlimited.
12.2
CHANGE
Changes to the services.
Websites-Unlimited may change its services and the corresponding service descriptions from time to time. When Websites-Unlimited changes a service, Websites-Unlimited will: (i) post the updated version of the service description on the site with the date it was revised; and (ii) on the home page of the site for at least 30 days after any change to the service description, post a notice that the service description has been updated. Websites-Unlimited may also send notice of the change by email to its affected customers.
12.3
INSURANCE
THE CUSTOMER SHALL :
The Client will maintain, at its sole expense, insurance against such risks and in such amounts as might reasonably be expected by persons acting prudently and engaged in similar activities as the Client.
12.4
HOSTING SERVICES
Any Service identified as "Hosting Services" in its Service Description is a Hosting Service.
12.5
Hosting Environment.
Websites-Unlimited shall: (i) maintain and operate the equipment used to host your websites (including 24/7 monitoring of the servers used); and (ii) use commercially reasonable efforts to maintain reasonable levels of temperature and humidity, fire suppression controls, electrical conditioning equipment, and uninterruptible power supplies for the continued proper operation of Websites-Unlimited's hosting equipment.
12.6
Disk Space.
Websites-Unlimited will provide disk space for your website(s). Click here to learn more about Websites-Unlimited's definition of "unlimited" disk space for your hosted website.
12.7
The Internet.
Websites-Unlimited will provide an Internet connection linking your hosted websites to the Internet. Click here to learn more about Websites-Unlimited's definition of "unlimited" bandwidth.
12.8
Remote access.
You will have remote access to upload files for your Hosted Websites provided that you do so in accordance with the TOS. Click here to learn more about the different methods that can currently be used to do so. And to learn more about how to upload files with FTP accounts in your CPANEL, or any other software installed on your home computer.
12.9
Routing.
When Websites-Unlimited hosts a website on your behalf, Websites-Unlimited routes one or more domain names to that website. The exact number of domain names that Websites-Unlimited will route on your behalf will depend on the hosting service you subscribe to. See the applicable service description for more information.
12.10
Backup.
You acknowledge that, unless you subscribe to a hosting service that expressly includes independent backup of your content (as defined below) as a service, Websites-Unlimited's backup activities are primarily for Websites-Unlimited's own disaster recovery purposes, and that YOU ARE RESPONSIBLE FOR THE STORAGE, BACKUP AND ARCHIVING OF YOUR CONTENT. Also note that hosting services include access to one or more tools via your control panel that allow you to back up your content. Please use these tools and back up your content frequently.
12.11
Maintenance Window.
Where reasonably possible, any maintenance of the equipment used to host Your websites will be performed during one of the following "maintenance windows": (i) between 12:00 p.m. and 3:00 a.m. (Toronto, Ontario local time) ); (ii) between 12:00 p.m. and 3:00 a.m. (London, England local time); or (iii) between 12:00 p.m. and 3:00 a.m. (Sydney, Australia local time). When selecting a maintenance window to use, Websites-Unlimited takes into account where the clients who may be affected by the maintenance activities are located (based on the addresses given to Websites-Unlimited by the clients) and what would be the first hours of the morning for most of them. In your case the TORONTO window will be the one that concerns you.
12.12
Availability.
A hosting service is "available" if: (a) the equipment used to provide it is functioning; and (b) the Internet connection provided as part of the Hosting Service is operational.
12.13
Measurement.
Websites-Unlimited will use reasonable efforts to ensure that the Hosting Services will be available other than for "scheduled maintenance" at least 99.9% of the time, measured monthly. Any maintenance or other work performed on the Websites-Unlimited technology infrastructure that occurs during the maintenance window or with at least 48 hours notice posted on the site is "planned maintenance".
12.14
Cooperation.
You acknowledge that it is important to coordinate your maintenance activities with Websites-Unlimited, and you will not perform any maintenance activities on your content during a maintenance window without first obtaining written confirmation that Websites-Unlimited will not perform any maintenance activities during that maintenance window.
12.15
Free domain name.
If the cost of registering or renewing a single domain name for one year is included in the annual fee charged to you for a hosting service (see the applicable service description for whether it is included and the types of eligible domain names) and the domain name you wish to register or renew for use with the Hosted Website is both an eligible and available type of domain name, Websites-Unlimited will register or renew (if applicable) the domain name for you. If Websites-Unlimited does so and you continue to subscribe to these hosting services for a period of at least 12 months, Websites-Unlimited will not charge you its then current fees for the registration or renewal of a domain name (if applicable). HOWEVER, IF THE HOSTING SERVICES ARE TERMINATED LESS THAN 12 MONTHS AFTER THE REGISTRATION OR RENEWAL OF THE DOMAIN NAME (THIS INCLUDES WITHIN THE FIRST 30 DAYS) OR YOU ATTEMPT TO TRANSFER THE DOMAIN NAME DURING THIS 12 MONTH PERIOD, WEBSITES-UNLIMITED
13.0
CONTENT
Intellectual Property.
No intellectual property rights are transferred to you by Websites-Unlimited through these TOU (International Rules for the Use of Software and Internet Services).
13.1
Your Content.
"Your Content" means all materials, information, data or code that you upload, store, transmit, receive or process in connection with the Services. You hereby grant Websites-Unlimited and its directors, officers, employees, agents, consultants or subcontractors the right to use, reproduce, transmit and delete (if applicable) your content in such manner as is necessary to enable Websites-Unlimited to operate the Services and otherwise exercise any right or perform any obligation under this Agreement.
13.2
Monitoring of Your Content.
While Websites-Unlimited is not obligated to monitor content and assumes no responsibility for your content or the content of its other clients, Websites-Unlimited reserves the right, subject to all applicable laws, to investigate your content and may block access to, refuse to host, or remove any information or materials that it deems to be in violation of Section 6.1.
14.0
ACCEPTABLE USE
Unacceptable Use.
Unacceptable Use refers to any illegal, unlawful or improper use as defined in this Section 6. You may not use the technological infrastructure of the Services or the Websites-Unlimited Sites in a manner that constitutes an unacceptable use. Unacceptable use is the creation, collection, transmission, storage or exchange of any material in violation of any applicable law or regulation. Improper use includes any use or conduct that may: (i) compromise Websites-Unlimited's products, services, technology infrastructure or ability to operate; or (ii) expose Websites-Unlimited to civil liability. Illegal, unlawful or improper use includes using the
Services to:
-possess, store, view, upload, transmit, distribute (by any peer-to-peer service or otherwise) or disseminate any material that:
-include child pornography;
-Infringe upon the copyright or other intellectual property rights of any person (including unlicensed or improperly licensed applications, music, games or other materials);
-deliberately promotes hatred against or defames any identifiable person, group or organization
-may be used to attack computer systems and networks and to damage websites (including scripts, executables or other tools).
-include any form of malware
-threaten the safety or property of any person
-Defame others;
-Interfere with the services that Websites-Unlimited provides to its other clients;
-Interfere with, disrupt or damage the servers used by Websites-Unlimited to provide these services, those of Websites-Unlimited's suppliers or those of other clients of Websites-Unlimited;
-Misrepresent or otherwise misrepresent your identity or affiliation with any person or entity;
-intentionally circumvent or defeat physical, logical or procedural safeguards such as firewalls, web filtering software or other access controls used by anyone to gain unauthorized access to anyone's technology infrastructure or distribute computer programs designed to assist in doing so;
-any act in violation of any applicable local, provincial, state, national or international law or regulation, including
including any law relating to:
-the export of data or software;
-the protection of human rights;
-promotion of hatred;
-defamation;
-criminal offences
-protection of intellectual property; or including the sending of commercial electronic messages
without the consent of the recipients.
14.1
Unacceptable uses of the services or websites - Websites-Unlimited's technological infrastructure may also include, but is not limited to unsolicited email, unsolicited email, newsgroup spamming, hardcore pornography (including, but not limited to, the use of animals in such pornography) or links to such sites, copyrighted MP3s, illegal content, copyright infringement, trademark infringement, warez, cracks, software serial numbers, and the execution of scripts, executables, or other programs or processes that may in any way affect the performance of Websites-Unlimited's technology infrastructure. Websites-Unlimited will be the sole and final arbiter as to what constitutes a violation of this policy.
14.2
Disruptive Uses.
You may not use the technological infrastructure of the Services or the Websites-Unlimited Sites in a manner that interferes with or disrupts other Websites-Unlimited customers. When any of the following events occur in connection with a hosted website, it is a disruptive use, a violation of these TOS and Websites-Unlimited may exercise its rights under section 6.6, including suspension of services:
15.0
TERM
This Agreement shall be effective on the date you order your first Service and shall continue until terminated in accordance with the terms and conditions set forth in the remainder of this section 10 (the "Term").
15.1
SUSPENSION AND TERMINATION
Suspension. If you fail to comply with these TOU, Websites-Unlimited may, in its sole discretion, restrict or suspend the Services, without notice and without the ability to cure the violation. If you are given the opportunity and you cure the violation or demonstrate to Websites-Unlimited that you have taken steps to prevent future violations of the TOU, Websites-Unlimited will lift the restriction or suspension. Websites-Unlimited will notify you of any suspension or restriction. Whether or not a restriction affects your access to your content is at the sole discretion of Websites-Unlimited. PLEASE NOTE THAT FEES WILL BE CHARGED DURING THE PERIOD OF ANY SUSPENSION OR RESTRICTION OF SERVICES.
15.2
THE CUSTOMER
You may terminate any Service at any time by using the web-based tool that Websites-Unlimited provides you to manage your account to terminate the Service. PLEASE NOTE: Subject to section 8.10, any amount paid in advance for the Services will not be refunded.
15.2
Per Websites-Unlimited.
Websites-Unlimited may terminate any Service by giving you at least 30 days prior written notice of the termination date. Websites-Unlimited may terminate this Agreement immediately and without notice:
-if you violate Section 6 (Acceptable Use);
-if you violate section 8 (Payment) and do not cure such violation within 10 days of the violation; or
-if you violate any other section of these TOU and do not cure such violation within 15 days.
Survival.
Those sections of this Agreement that by their nature should survive the termination or expiration of this Agreement, including, but not limited to, 3.4, 4.2 (g), 4.2 (l), 4.3 (b), 4.3 (c), 5, 7, 8, 10.4, 11, 12, 13, 14, 16, and 17 shall survive the expiration or termination of this Agreement in full force and effect.
16.0
Renewals.
Services purchased for a specific period of time (e.g., three years) will automatically renew at the expiration of that period, unless you give written notice to Websites-Unlimited of your intent to terminate at least 30 days prior to the expiration of that period. They will be renewed at Websites-Unlimited's then current rates for these services.
17.0
WARRANTIES AND DISCLAIMERS
THE INTERNET IS A COMPLEX NETWORK OF EQUIPMENT, SERVICES AND INFORMATION PROVIDERS, THEREFORE THE SERVICE MAY NOT BE AVAILABLE AT ALL TIMES. YOU ACKNOWLEDGE THAT THE HOSTING SERVICES AND OTHER SERVICES MAY NOT ALWAYS BE AVAILABLE, AND EXCEPT FOR ANY EXPRESS WARRANTIES CONTAINED IN THIS AGREEMENT, WEBSITES UNLIMITED EXPRESSLY DISCLAIMS ANY OTHER REPRESENTATIONS, WARRANTIES OR CONDITIONS WITH RESPECT TO THE HOSTING SERVICES IN THIS AGREEMENT, EXPRESS OR IMPLIED, PAST OR PRESENT, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTY THAT THE HOSTING SERVICES WILL BE UNINTERRUPTED.
18.0
LIMITATIONS OF LIABILITY
Limitation.
IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF WEBSITES UNLIMITED (INCLUDING ITS AGENTS AND SUPPLIERS) TO CUSTOMER FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNT PAID BY CUSTOMER DURING THE 12 MONTH PERIOD PRECEDING THE DATE CUSTOMER FIRST CLAIMS FOR DAMAGES.
18.1
Consequential Damages.
WEBSITES-UNLIMITED.COM (INCLUDING ITS REPRESENTATIVES AND SUPPLIERS) WILL NOT BE LIABLE TO THE CUSTOMER OR ITS END USERS IN ANY MANNER WHATSOEVER FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA, REVENUE OR PROFITS ARISING OUT OF OR RESULTING FROM THIS AGREEMENT OR THE PROVISION OR USE OF THE HOSTING SERVICES. THIS LIMITATION APPLIES WHETHER OR NOT SUCH DAMAGES ARE FORESEEABLE, OR IF UNLIMITED WEBSITES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion of incidental, special or consequential damages. If a jurisdiction applicable to the TOS does not allow such exclusion or limitation, Websites-Unlimited's total liability to you in connection with any incidental, special or consequential damages shall be limited by section
18.2
Allocation of risk.
The Customer and Websites-Unlimited understand and agree that, to the extent permitted by applicable law, the foregoing exclusions and limitations of liability represent the parties' agreement as to the allocation of risk between them in connection with their respective obligations under this Agreement. The fees payable to Websites-Unlimited reflect and are based on this allocation of risk and the exclusions and limitations of liability set forth in this Agreement.
19.0
OBLIGATION UNDER APPLICABLE LAW
a) This Participation Waiver and Consent document shall be governed by and construed in accordance with the laws of the Province of Quebec and, to the extent applicable, the laws of Canada and any action or proceeding under this Participation Waiver and Consent document shall be brought in the competent court of the Province of Quebec.
